This clause defines the extent of Avotix's legal responsibility in relation to all services, deliverables, and engagements. Please read carefully before engaging our services.
To the fullest extent permitted by applicable law, Avotix, including its founders, employees, contractors, partners, and affiliates, shall not be held liable for any damages arising out of or in connection with the use of our services, deliverables, or website.
This limitation applies to all forms of claims, whether based on contract, tort, negligence, strict liability, misrepresentation, or any other legal theory.
Avotix shall not be held liable for any of the following, even if we have been advised of the possibility of such damages:
The client acknowledges and agrees that the nature of technology services involves inherent uncertainties, dependencies, and external variables that are beyond the reasonable control of Avotix. These factors may include, but are not limited to:
As such, Avotix does not guarantee uninterrupted, error-free, or fully secure operation of any deliverable, nor does it guarantee any specific performance outcomes, business results, or financial gains.
All services and deliverables provided by Avotix are offered on an "as is" and "as available" basis without any warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or compatibility with specific systems or environments.
While Avotix follows industry best practices and quality standards, the client understands that no digital solution can be entirely free from defects, limitations, or risks.
In no event shall the total aggregate liability of Avotix, regardless of the cause of action or legal theory, exceed the total amount actually paid by the client to Avotix for the specific service or project giving rise to the claim.
Avotix shall not be held liable for any damages or losses resulting from delays, failures, or interruptions caused by circumstances beyond its reasonable control. Such circumstances include, but are not limited to:
These events shall be considered force majeure, and Avotix shall not be deemed in breach of any obligation due to such occurrences.
Avotix shall not be responsible for any misuse, unauthorized modification, improper implementation, or unauthorized access to the delivered work after it has been handed over or made accessible to the client.
Any alterations made by the client or third parties without the involvement or approval of Avotix shall void any responsibility or liability on our part.
Avotix shall also not be liable for any claims arising from the use of third-party tools, software, APIs, plugins, or services integrated within the project. These third-party components operate under their own terms and policies, and any issues, failures, or damages resulting from their use shall be the sole responsibility of the respective providers.
The client agrees that any claim or cause of action arising out of or related to the services provided by Avotix must be brought within a reasonable time period as permitted by applicable law. Failure to initiate such claims within the prescribed timeframe shall result in permanent waiver of the right to pursue such claims.
If any portion of this Limitation of Liability clause is found to be invalid, unlawful, or unenforceable under applicable law, the remaining provisions shall continue to remain valid and enforceable to the fullest extent possible.
This clause shall be governed by and interpreted in accordance with the laws of India. By agreeing to this clause, the client acknowledges that they fully understand the risks associated with digital services and accept that Avotix's liability is limited as described herein.
